These Terms of Service (the “Terms”) are a binding legal contract between you and Forge Nova Labs (“Forge Nova Labs,” “we,” “us,” “our,” or “the Company”). Please read them carefully. They include an assumption of risk (Section 9), important disclaimers and limitations of liability (Sections 12 and 13), an indemnification obligation (Section 14), and a binding individual arbitration agreement and class-action waiver (Section 15) that affect your legal rights, including a 30-day right to opt out of arbitration.
1. Acceptance of these Terms; authority to bind an organization
ArcForge (the “Service”) is operated by Forge Nova Labs and consists of the marketing website at arcforgepro.com together with the signed-in web application and all content, software, and features within them. By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and AI Analysis Disclaimer, each incorporated into these Terms by reference. If you do not agree, do not use the Service.
You agree that these Terms are entered into electronically and that your electronic acceptance, your use of the Service, and the records we keep have the same legal effect as a handwritten signature and a paper contract. If you accept these Terms or use the Service on behalf of a school, employer, or other organization, you represent and warrant that you are authorized to bind that organization, and “you” refers to both you and that organization.
2. Educational purposes only; no professional advice
The Service is for educational and skills-practice purposes only. ArcForge is a welding education and practice platform. To the fullest extent permitted by law, everything the Service produces or contains — including AI-assisted visual feedback, practice scores, weld logs, qualification tracking, lessons, quizzes, certification-prep material, and instructor feedback — is provided solely for study and practice and is not weld inspection, nondestructive testing (NDT) or visual testing (VT), engineering judgment, code-compliance determination, qualification, certification, or professional, legal, medical, employment, or safety advice of any kind.
- AI feedback describes only the visible surface of a photograph. It cannot and does not confirm code compliance, structural integrity, internal fusion, penetration, or any test outcome, and it may be incomplete or wrong.
- Certification-prep content is independent study material. We are not affiliated with, endorsed by, or approved by AWS, ASME, API, OSHA, or any certification organization, and using the Service grants no certification or qualification.
- Decisions about weld acceptability, structural use, hiring, safety, or test readiness must be made by qualified people — instructors, certified inspectors, engineers, and accredited testing facilities — and not by the Service.
You must not rely on the Service for any real-world acceptance, structural, safety, hiring, compliance, or other decision. The complete statement appears in the AI Analysis Disclaimer, which is incorporated into these Terms by reference and governs in the event of any conflict on this subject.
3. Eligibility and accounts
You must be at least 16 years old to use the Service. To self-register for an individual account, you must be 18 or older. Users who are 16 or 17 may use the Service only through a school or instructor account, and that school or instructor is responsible for obtaining all parental or guardian consents the law requires. The Service is not directed to children under 16, and we do not knowingly collect personal information from anyone under 16 outside a school context. If we learn that someone under 16 has used the Service outside a school context, we will take reasonable steps to close the account and delete the information.
You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate, current, and complete information, to keep it up to date, and to notify us promptly at support@arcforgepro.com of any unauthorized use of your account.
4. Subscriptions, billing, allowances, and credits
- Auto-renewal. Paid plans renew automatically at the start of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
- Monthly allowances. Each plan includes a monthly allowance of AI-assisted analyses, which exists because each analysis carries real compute cost. Allowances reset at the start of each billing cycle and do not roll over or carry forward.
- Purchased credits. Any credits you buy do not expire, but they can be consumed only while you have an active paid subscription. If your subscription lapses, credits are paused and become usable again when an active paid subscription resumes.
- School and pooled allowances. School and organization plans include a stated number of seats and a pooled monthly allowance shared across the organization, administered by the account holder.
- Price changes. We may change plan pricing, allowances, or features on a prospective basis with reasonable advance notice. Changes do not apply retroactively to a period you have already paid for; your continued use after a change takes effect constitutes acceptance.
- Taxes and fees. Prices are exclusive of taxes; you are responsible for any applicable taxes, levies, or duties. Except where required by law, all fees and charges are non-refundable, and partial periods, unused allowances, and unused credits are not refundable.
5. Acceptable use
You agree not to:
- Misrepresent the Service or its output as inspection, NDT or VT, certification, qualification, or code-compliance findings, or rely on the Service for any real-world acceptance, structural, safety, hiring, or compliance decision;
- Upload content that is unlawful, infringing, or that you lack the rights to submit;
- Upload images of people, or images unrelated to welding practice, for analysis;
- Probe, scan, overload, scrape, data-mine, or otherwise interfere with the Service, its security, or other users’ data, or attempt to gain unauthorized access to any system or account;
- Share accounts, resell or sublicense access, or circumvent plan limits or seat counts;
- Use the Service to build, train, or improve a competing product or service, or to extract or harvest content for that purpose;
- Upload malware, attempt to disrupt the Service, or use automated means to access it except as we expressly permit;
- Reverse engineer, decompile, or disassemble the Service, except to the limited extent the law permits despite this restriction.
6. Your content and the license you grant us
You retain ownership of the photos and other content you upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process (including AI processing), transmit, display, and back up Your Content solely to operate, secure, support, and improve the Service. Weld photos submitted for analysis are processed in memory and are not retained — see the Privacy Policy for details. If you submit work to a class, you also grant the class’s instructors and organization access to that work as described in the Privacy Policy. You represent that you have all rights necessary to submit Your Content and to grant this license. You may delete Your Content, which ends this license except for backups that roll off on a schedule and records we must keep by law.
7. Our intellectual property and your limited license
The Service — including all lessons, defect entries, certification-prep tracks, quiz questions, software, models, text, graphics, logos, and design — is owned by Forge Nova Labs or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own education (or, on teaching plans, for your students’ education). All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, publicly display, or create derivative works from our content or the Service outside the features we provide, and you may not remove or obscure any proprietary notices.
8. Instructors, schools, and classes
Instructors and schools are solely responsible for how they use the Service in their programs, including grading and assessment decisions, supervision of learners, and compliance with the education, privacy, and consent laws that apply to them (for example, obtaining any parental or guardian consents required for learners aged 16 to 17). Instructor feedback represents the instructor’s own view and judgment, not ours. We provide tools; the teaching, supervision, and assessment judgment is theirs, and we are not responsible for it.
9. Safety and assumption of risk
Welding is inherently hazardous and can cause serious injury, death, fire, burns, electric shock, exposure to fumes and radiation, and property damage. The Service is study material only. It is not a substitute for hands-on training, qualified supervision, proper personal protective equipment (PPE), or your shop’s and employer’s safety rules, and it does not assess or ensure the safety of any weld, equipment, or workplace. You must always follow the safety requirements that apply where you weld.
To the fullest extent permitted by law, you knowingly and voluntarily assume all risks associated with welding, the use of welding and related equipment, and any reliance on the Service, and you use welding equipment entirely at your own risk. Nothing in this section limits any rights that cannot be waived under applicable law, including for personal injury that the law does not permit to be waived.
10. Third-party services
The Service relies on third parties, including an AI model provider, a payment processor, and hosting and infrastructure providers. We do not control these third parties and are not responsible for their acts, omissions, availability, or content. Your use of a third-party service may be subject to that provider’s own terms and privacy practices, and you are responsible for reviewing and complying with them. Third-party services are provided as a convenience and without warranty of any kind from us.
11. Pilot, beta, and availability
The Service is currently offered as an invite-only pilot (beta) and is provided “as is” and “as available.” It may contain errors, change without notice, and behave differently from a generally available product. To the fullest extent permitted by law, we may modify, suspend, limit, or discontinue any part of the Service at any time, and we do not guarantee availability, uptime, performance, or retention of data. You are responsible for keeping your own copies of anything important to you.
12. Disclaimer of warranties
To the fullest extent permitted by law, the Service and all content and output are provided “as is” and “as available,” with all faults and without warranty of any kind. We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Without limiting the foregoing, we do not warrant that AI output or other content is accurate, complete, reliable, or current, that the Service will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Service or any content meets the requirements of any code, standard, employer, inspector, or testing body. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law: (a) neither Forge Nova Labs nor its affiliates, officers, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Service, even if advised of the possibility of such damages; (b) our and our affiliates’ total aggregate liability for all claims arising out of or relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim or US$100; and (c) we are not liable for welding outcomes, weld quality, injuries, property damage, employment or hiring decisions, or test, inspection, qualification, or certification results — these depend on factors no photograph can capture and on decisions that belong to qualified people. These limits apply even if a remedy fails of its essential purpose. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or non-waivable consumer rights or personal injury. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
14. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Forge Nova Labs and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your welding activity or use of equipment; (d) your reliance on any output of the Service; (e) your breach of these Terms; or (f) your violation of any law or of any third party’s rights. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense; you will not settle any such matter without our prior written consent.
15. Dispute resolution and binding arbitration
Please read this section carefully — it affects your legal rights, including your right to bring a lawsuit in court and to have disputes heard by a jury or as part of a class.
Informal resolution first. Before starting an arbitration, you agree to first try to resolve any dispute informally by emailing us at support@arcforgepro.com with a description of the dispute and the relief you seek, and by allowing 60 days for us to attempt to resolve it. This step is a precondition to commencing arbitration.
Binding individual arbitration. If the dispute is not resolved within 60 days, you and Forge Nova Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be seated in the State of North Carolina, or conducted by videoconference or on a documents-only basis where the rules allow. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury-trial waivers. You and Forge Nova Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. To the fullest extent permitted by law, you and Forge Nova Labs also waive any right to a jury trial.
30-day right to opt out. You may reject this arbitration agreement by emailing support@arcforgepro.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If you opt out, the governing-law and venue provisions in Section 17 will apply to disputes between us.
Small-claims carve-out. Either party may instead bring an individual claim in a small-claims court if the claim qualifies and stays in that court.
Non-severability of the class waiver. If the class-action waiver above is found to be unenforceable as to any claim, then the entire arbitration agreement in this Section 15 will be void as to that claim, which will instead proceed in court under Section 17. All other provisions of this section are severable.
16. Time limit on claims
To the fullest extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim accrues, or it is permanently barred.
17. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. For any matter that is not subject to arbitration under Section 15 (including matters where you have opted out, small-claims matters, or where the arbitration agreement is found unenforceable), the exclusive venue is the state and federal courts located in North Carolina, and you and Forge Nova Labs consent to the personal jurisdiction of those courts.
18. Termination and survival
You may stop using the Service or delete your account at any time. We may suspend or terminate your access for breach of these Terms, abuse, risk to the Service or other users, or as required by law, with notice where practicable. Upon termination, your right to use the Service ends. The provisions that by their nature should survive termination will survive, including Section 2 (Educational purposes only), Section 6 (Your content), Section 7 (Our intellectual property), Section 9 (Assumption of risk), Section 12 (Disclaimer of warranties), Section 13 (Limitation of liability), Section 14 (Indemnification), Section 15 (Dispute resolution and arbitration), Section 16 (Time limit on claims), Section 17 (Governing law and venue), and Section 21 (Miscellaneous).
19. Changes to these Terms or the Service
We improve the Service continuously and may add, change, or retire features. We may also update these Terms from time to time. If we make material changes to these Terms, we will notify you in the app or by email before they take effect and update the “Last updated” date above. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
20. Force majeure
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or the acts or omissions of third-party providers.
21. Miscellaneous
These Terms, together with the Privacy Policy and AI Analysis Disclaimer, are the entire agreement between you and Forge Nova Labs regarding the Service and supersede any prior agreements on that subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force (subject to the non-severability rule in Section 15). Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms or your account without our prior written consent; we may assign these Terms, for example in connection with a merger, acquisition, or sale of assets. Notices to you may be given in the app, by email, or by posting; notices to us must be sent to support@arcforgepro.com. Section headings are for convenience only and do not affect interpretation. There are no third-party beneficiaries of these Terms. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
